These Terms of Use (“Terms”) govern your access to and use of the Boston Impact Initiative Fund and Boston Impact Initiative Fund II LLC (collectively “BII,” “we,” “us,” or “our”) website, located at www.bostonimpact.org, and any other digital platforms operated by BII (collectively, the “Site”). By using this Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The BII Site is provided for informational, educational, and engagement purposes. It highlights our mission, programs, impact, and ways to get involved, to donate or apply for funding. The Site is intended for personal, non-commercial use unless otherwise expressly stated.

2. Content Ownership and Use

Unless otherwise noted, all content on this Site, including text, graphics, images, videos, logos, reports, toolkits, and downloadable materials, is the property of BII and protected under U.S. and international copyright laws.

You may view, download, and print content from this Site for personal, non-commercial use only, provided you do not modify or remove any copyright, attribution, or proprietary notices. You may not use, copy, reproduce, publish, transmit, distribute, or create derivative works without prior written permission from BII. To request permission, contact info@bostonimpact.org.

3. Trademarks

“Boston Impact Initiative,” “BII,” “BII Fund” and associated logos are trademarks or service marks of BII. Other marks, logos, or names appearing on the Site may be trademarks of their respective owners. Use of any BII trademarks without permission is strictly prohibited.

4. Accuracy of Information; Typographical Errors

We make every effort to ensure the content on our Site is accurate and up to date. However, we do not guarantee that all content is complete, accurate, or current. We reserve the right to correct any errors, omissions, or inaccuracies at any time without notice. Content is provided for general informational purposes only and should not be relied upon for financial, legal, or investment decisions.  In the event that a service or product is mistakenly listed at an incorrect price or with incorrect specifications, Company reserves the right to refuse or cancel any orders placed for product or service listed incorrectly, whether or not the order has been confirmed and whether or not you have been charged for such product or service. If your credit card has already been charged for the purchase and your order is cancelled, Company shall issue you a credit (to your credit card account or otherwise) in the amount of the incorrect price.

5. External Links

The Site may include links to third-party websites that are not owned or controlled by BII. These links are provided for your convenience and do not imply endorsement. We are not responsible for the content, policies, or privacy practices of any third-party sites. We encourage you to read the terms and privacy policies of external sites you visit, including those of our service providers such as Passthrough, Constant Contact, Luma, Stripe, and GiveLively.

6. Donations, Investments, and Financial Transactions

Any information on this Site related to investing in BII investment funds, making a donation, or supporting BII financially is provided for informational purposes only. It does not constitute a public offering or solicitation to invest. Formal investment opportunities are available only to eligible parties and will be governed by applicable securities law and separate documentation.

Donations are processed through Stripe and GiveLively, secure third-party payment platforms. BII does not store sensitive payment information. Please review the privacy policies of Stripe (stripe.com/privacy) and GiveLively (givelively.org/privacy) for details on how they handle your payment data.

7. Product Purchases

BII offers products for sale through this Site, including our card decks and other educational materials. By making a purchase, you agree to provide accurate and complete information. All sales are final unless otherwise stated. Payments for online purchases are processed securely through Stripe. For direct invoiced purchases, payments are processed through Bill.com or ACH transfer. BII does not store full credit card numbers. Please review the privacy policies of Stripe (stripe.com/privacy) and Bill.com (bill.com/privacy) for details on payment data handling. BII reserves the right to cancel or refuse any order at its discretion, including in cases of pricing errors or fraud. If an order is cancelled, any payment collected will be refunded.

8. User Conduct

You agree not to use the Site:

  • In any way that violates applicable law or regulation, including engaging in fraudulent activities or infringing on the rights of others
  • To attempt to gain unauthorized access to the Site or its servers
  • To interfere with the functioning of the Site, introduce malware, or harvest data
  • To impersonate BII or misrepresent your relationship with BII

We reserve the right to suspend or terminate access to the Site if we believe a user is violating these Terms.

BII is committed to ensuring that this Site is accessible to all users, including people with disabilities. We strive to meet the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. 12. Copyright Complaints

BII respects the intellectual property of others. If you believe in good faith that materials hosted by BII infringe your copyright rights, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. The notice must include the following information:

  • a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single website are covered by a single notification, a representative list of such works at that site;
  • identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
  • information reasonably sufficient to permit us to contact you, such as an address, telephone number and email address;
  • a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by you, your agent, or the law; and

This Site and all content are provided “as is” without warranties of any kind, express or implied. BII makes no warranties or representations regarding the accuracy, reliability, or availability of the Site. We disclaim all liability for any damages, losses, or injuries resulting from your use of the Site or reliance on its content.

14. Limitation of Liability

YOUR USE OF THE SITE IS AT YOUR OWN RISK.  NEITHER BII, NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS OR DIRECTORS, NOR ANY OF ITS AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR ITS CONTENT, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless BII, its affiliates, board, staff, and partners from and against any claims, liabilities, damages, and expenses arising from your use of the Site or violation of these Terms.

16. Modifications

BII reserves the right to modify these Terms at any time. Any changes will be posted on this page with a new effective date. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts. Any disputes will be resolved in the state or federal courts located in Massachusetts.

18. Assignment

BII may assign its rights and duties under these Terms to any party at any time without notice to you.
